These Terms of Use (“Terms”) govern your access to and use of the Kyouz platform, including:

• The Kyouz website (https://www.kyouz.com)

• The Kyouz mobile applications (iOS and Android)

• The Kyouz web application(s)

• Magic-link ticket pages, QR flows, and SMS-linked experiences

• Any related products, services, or features (collectively, the “Platform”)

The Platform is owned and operated by PROXC LLC (“PROXC”, “we”, “us”, or “our”).

By accessing or using any part of the Platform, you agree to be bound by these Terms.
If you do not agree, you must not use the Platform.

1. About Kyouz

Kyouz is a digital queuing, ticketing, reservation, and customer-flow management platform designed for businesses and their customers.

Kyouz facilitates queue organization and communication but does not itself provide the underlying business services offered by participating businesses.

2. Eligibility

You must be at least:

• 18 years old, or

• The age of legal majority in your jurisdiction

By using the Platform, you represent that you meet these requirements.

3. Accounts, Registration & Security

Some features require account registration.

You agree to:

• Provide accurate and current information

• Maintain the confidentiality of your credentials

• Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts that violate these Terms or pose security or legal risks.

4. Acceptable Use

You agree not to:

• Use the Platform for unlawful purposes

• Attempt unauthorized access or system interference

• Abuse ticketing, queue manipulation, SMS, or verification features

• Scrape, reverse-engineer, or resell the Platform without authorization

Misuse may result in suspension or permanent termination.

5. Tickets, Queues & Reservations

• Kyouz facilitates digital queueing and ticket visibility only

• Service delivery, timing, and fulfillment are the responsibility of the business

• Kyouz does not guarantee service availability, wait times, or outcomes

Businesses control their own queue rules, stages, and operational decisions.

6. SMS, Magic Links & Verification

The Platform may send SMS messages, verification codes, and magic links.

By using these features, you consent to:

• Receiving transactional SMS messages

• Verification and fraud-prevention processes

Message frequency may vary. Standard carrier rates may apply.

7. Cookies & Tracking Technologies (Website & Web App)

We use cookies and similar technologies to:

• Operate and secure the Platform

• Improve performance and user experience

• Analyze usage and engagement

Required Cookies

Essential cookies are always enabled and do not require consent.

Optional Cookies

Optional analytics or marketing cookies may be enabled based on your preferences.

Third-party services embedded in the Platform may set their own cookies.

8. Intellectual Property

All Platform content, including:

• Software

• Designs

• Text, graphics, logos

• Trademarks and brand assets

are owned by or licensed to PROXC LLC.

You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose only.

You must not:

• Copy, redistribute, or commercialize Platform content

• Use logos or branding without written permission

• Reverse-engineer or exploit the Platform

9. User Submissions & Public Content (If Enabled)

Where the Platform allows comments or submissions:

• Content reflects the user’s views, not PROXC’s

• We reserve the right to remove inappropriate or unlawful content

By submitting content, you confirm:

• You have the right to submit it

• It does not violate third-party rights

• It is lawful and non-offensive

You grant PROXC LLC a non-exclusive, royalty-free license to use such content in connection with the Platform.

10. Hyperlinking & Third-Party Content

Certain organizations may link to the Kyouz Platform without prior approval (e.g., government agencies, search engines, news outlets).

We reserve the right to:

• Request removal of any link

• Deny or revoke linking permission

We are not responsible for third-party websites or content linked to or from the Platform.

11. Payments, Subscriptions & Credits (If Applicable)

Where paid plans, subscriptions, or usage credits apply:

• Fees are non-refundable unless required by law

• Plans, pricing, and limits may change with notice

• Insufficient credits may affect service availability

12. Disclaimer of Warranties

The Platform is provided “as is” and “as available”.

To the maximum extent permitted by law:

• We disclaim all warranties, express or implied

• We do not guarantee uninterrupted or error-free operation

13. Limitation of Liability

To the maximum extent permitted by law:

• PROXC LLC is not liable for indirect, incidental, or consequential damages

• Total liability shall not exceed the amount paid by you to the Platform in the preceding 12 months (if any)

If the Platform is provided free of charge, liability is excluded to the fullest extent allowed by law.

14. Indemnification

You agree to indemnify and hold harmless PROXC LLC from claims arising from:

• Your misuse of the Platform

• Violation of these Terms

• Violation of applicable laws or third-party rights

15. Termination

We may suspend or terminate access to the Platform:

• For violations of these Terms

• To protect users, businesses, or the Platform

• To comply with legal obligations

16. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles.

Continued use of the Platform constitutes acceptance of the updated Terms.
